‍This Agreement contains thThis giveaway (“Giveaway”) is sponsored by HoneyBook, Inc., HoneyBook, Inc., 539 Bryant St, Suite 200, San Francisco, CA 94107 (“Sponsor” or “Square”).

2. Eligibility Criteria‍

‍The Giveaway is open to: (1) business entities formed under the laws of one of the fifty (50) United States, the District of Columbia, or Canada (excluding Quebec) with a legal representative who is at least eighteen (18) years old or the age of majority in their jurisdiction of residence, whichever is older; or (2) sole proprietors residing in one of the fifty (50) United States, the District of Columbia, or Canada (excluding Quebec) who are at least eighteen (18) years old or the age of majority in their jurisdiction of residence, whichever is older. Business entity entrants must provide consultative services as their primary business offering.

Eligible participants must fall into one of the following categories: (a) New HoneyBook trial users who begin their trial between January 6, 2025, and January 31, 2025; (b) Returning HoneyBook trial users who restart their seven (7) day free trial between January 6, 2025, and January 31, 2025; or (c) Current HoneyBook subscribers.

The following are not eligible to participate in the Giveaway: businesses owned by or individuals who are directors, officers, members, managers, or employees of HoneyBook or any of their respective parent companies, affiliate companies, subsidiaries, agents, professional advisors, advertising agencies, promotional agencies, public relations agencies, fulfillment agencies, consultants, legal counsel, website providers, or web masters. Additionally, immediate family members (defined as spouse, parent, child, sibling, grandparent, and "step" relationships) of the aforementioned individuals, regardless of where they live, or persons living in the same household (whether related or not) are not eligible to participate.

‍3. Giveaway period

‍The Giveaway starts at 12:00:01 a.m. Pacific Time on January 6, 2025, and ends at 11:59:59 p.m. Pacific Time on January 31, 2025.

4. How to enter

‍To enter the Giveaway, all eligible entrants can complete the following steps during the Giveaway Period:

‍For Current HoneyBook Subscribers - Refer one or more new users who starts their trial between January 6-31, 2025.

Limit one (1) entry per person, regardless of entry method. Multiple entries will not increase your chances of winning. For purposes of this Giveaway, multiple entrants are not permitted to share the same HoneyBook account. Attempts to submit entries in violation of these Official Rules by using multiple or false contact information or otherwise may be disqualified. Entries generated by script, macro, bot, or other automated means will not be accepted and will be void.By entering the Giveaway, each entrant gives consent for Sponsor and its agents to obtain and deliver their name, address, and other information to third parties for the purpose of administering this Giveaway and complying with applicable laws, regulations, and rules. Such information will be used in accordance with Sponsor's Privacy Policy.

‍5. Prize

‍Ten (10) winners (“Prize Winners”) will be randomly selected from the pool of total Entrants. Any potential Prize Winners in Canada selected from the pool will be required to answer a multi-part math question prior to being deemed a Prize Winner and collecting any prize. Each Prize Winner will receive one (1) January Jumpstart Prize Package consisting of:

• A business development stipend of USD $5,000 (or the Canadian equivalent based on the exchange rate as of the end date of the Giveaway Period)

• Systems set-up services with a HoneyBook Pro valued at up to USD $4,000 (services subject to availability)

• A 1-year Premium HoneyBook subscription (Approximate Retail Value ("ARV"): USD $1,308)

6. Winners selection

‍Winners will be chosen at random on February 6, 2025. Eligibility requirements apply.

7. Winners notification

‍Prize Winners will be notified after February 6, 2025, via email to the email address associated with their HoneyBook trial registration ("Winner Notification"). HoneyBook will contact winners directly through email to coordinate prize fulfillment.

If any Winner Notification or other Giveaway communication is rejected or returned as undeliverable, if a potential Prize Winner cannot be reached after a reasonable attempt has been made by Sponsor (as determined by Sponsor in its sole discretion), or if a Prize Winner fails to respond to a Winner Notification within the specified time period, the Prize will be forfeited in Sponsor's sole discretion and an alternate winner may be selected based on the original method of winner selection.

Sponsor may select up to two (2) alternate winners for each unclaimed Prize, after which the Prize will be deemed unclaimed and Sponsor will have no further obligation with respect to such Prize. Sponsor reserves the right to modify the notification procedures in connection with the selection of any alternate potential Prize Winner.

To claim a Prize, a Prize Winner must follow the directions provided in their Winner Notification. If legitimately claimed in accordance with these Official Rules, the Prize will be awarded.

8. Disclaimer

‍The Sponsor and any of Sponsor's parent companies, subsidiaries, affiliates, professional advisors, consultants, contractors, legal counsel, public relations firms, advertising, fulfillment and marketing agencies, and any of their respective directors, officers, members, managers, and employees (collectively, the "Released Parties") will not be responsible for:

(a) Any late, lost, misrouted, garbled, distorted, or damaged entries or communications;

(b) Phone, electronic, hardware, software, network, Internet, or other computer or communications-related malfunctions or failures;

(c) Any Giveaway disruptions, injuries, losses, or damages caused by events beyond the reasonable control of Sponsor or the Released Parties;

(d) Any technical or human error that may occur in the administration of the Giveaway, processing of entries, winner selection or notification, or prize fulfillment;

(e) Any printing or typographical errors in any materials associated with the Giveaway;

(f) Any inability of a Prize Winner to accept or use any Prize (or portion thereof) for any reason;

(g) Any error, omission, interruption, deletion, defect, or delay in operation or transmission, theft or destruction, or unauthorized access to or alteration of entries;

(h) Any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or entry to be received on account of technical problems or traffic congestion on the Internet or at any website.

The Released Parties are not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Giveaway.

‍9. Licenses and approvals‍

Entrants may not submit an entry on behalf of someone else. By submitting an entry, Entrant represents and warrants that Entrant meets all eligibility criteria for participation in the Giveaway. By participating in the Giveaway, Entrant acknowledges that if selected as a Prize Winner, their identifying information, including but not limited to their name, may be disclosed to third parties and placed on a winners' list.

10. Privacy

‍‍Information collected from Entrants is subject to Sponsor's Privacy Policy, which can be found at https://www.honeybook.com/terms/privacy.

11. Disputes

‍All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of Entrant and Sponsor in connection with the Giveaway, shall be governed by, and construed in accordance with, the laws of the United States and the State of California, without giving effect to any choice of law or conflict of law rules.

Each Entrant agrees that any dispute or claim arising out of or relating to the Giveaway will be resolved solely through discussion with the Sponsor. EACH ENTRANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE UNITED STATES ARE HEREBY EXPRESSLY WAIVED BY THEM. SECTION 1542 READS AS FOLLOWS: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY."

Sponsor reserves the right to cancel, modify, or suspend the Giveaway at any time if it becomes technically corrupted or cannot be conducted as originally planned. Any dispute concerning the Giveaway will be resolved in Sponsor's sole discretion.

12. Limitations of liability

‍By participating in the Giveaway, each Entrant agrees to release, indemnify and hold harmless Sponsor and the Released Parties from any liability whatsoever and waives any and all causes of action arising out of or in connection with the Giveaway or delivery, misdelivery, acceptance, possession, use of or inability to use any Prize, including any claims for costs, losses, personal injuries, death, or damages of any kind.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE SPONSOR OR THE RELEASED PARTIES BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED TO PARTICIPATION IN THE GIVEAWAY.

The Released Parties are not responsible for: (a) stolen, lost, late, misdirected, garbled, mutilated, damaged, incomplete, inaccurate, or illegible entries or Giveaway-related correspondence; (b) technical failures of any kind; (c) unauthorized human and/or mechanical intervention; (d) human error; (e) any error, omission, interruption, defect or delay in transmission or communication; (f) viruses or mechanical malfunctions; (g) errors or misprints in the Official Rules or Giveaway-related materials; (h) lost or unavailable network connections.

If for any reason an entry is confirmed to have been erroneously deleted, lost, destroyed, corrupted, or otherwise not accepted as an entry into the Giveaway, Entrant's sole remedy is another entry in the Giveaway.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE GIVEAWAY IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW AND MAY DISQUALIFY ANY PARTICIPANT MAKING SUCH ATTEMPT.

13. General rules

‍By participating in the Sweeptakes, you agree to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects. Sponsor reserves the right to change these Official Rules at any time, in its discretion, and to modify, suspend or cancel the Program or any applicant’s participation in the Program should viruses, bugs, unauthorized human intervention, pandemics, public disruptions, or other causes beyond Sponsor’s reasonable control affect the administration, security or proper play of the Program, or Sponsor otherwise becomes (in its discretion) incapable of running the Program as planned. Applicants who violate these Official Rules, violate any law, rule, or regulation in connection with participation in the Program, tamper with the operation of the Program or engage in any conduct that is detrimental or unfair to Sponsor, the Program, or any other applicant (as determined in Sponsor’s discretion) are subject to disqualification from the Program. Sponsor reserves the right to lock out persons whose eligibility is in question or who have been disqualified or are otherwise ineligible to apply to the Program. Sponsor reserves the right to disqualify any Submissions received that contain inappropriate or offensive content. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Any provision of these Official Rules deemed unenforceable will be enforced to the extent permissible, and the remainder of these Official Rules will remain in effect. The use of the terms “include” or “including” in these Official Rules is illustrative and not limiting.‍
